Northwind Enterprises, LLC  & Scout-N-Hunt Mobile Hunting Maps Products Terms and Conditions

Identification of Roles and Use of Maps:
Northwind Enterprises, LLC (“Northwind Enterprises”) is the creator and provider of the Scout-N-Hunt Mobile Maps (“the Maps”). The Subscriber (“you” or “the Subscriber”) is the individual who has purchased a license to use the Maps. By purchasing, accessing, or using the Maps, you agree to the terms and conditions outlined in this Agreement. Any use of the Maps outside the scope of this Agreement is a direct violation of the terms and conditions set forth herein. Unauthorized use of the Maps by any individual or entity other than the Subscriber is strictly prohibited. Such unauthorized use constitutes a breach of this Agreement and may subject the unauthorized user to legal liability, including but not limited to liability for damages, losses, or other legal remedies available under applicable law. If found in violation of these terms, Northwind Enterprises reserves the right to immediately cancel the subscription without notice or refund. Northwind Enterprises further reserves the right to pursue all legal remedies available, including injunctive relief, against any party that engages in unauthorized use of the Maps. The Subscriber is responsible for ensuring that the Maps are used solely in accordance with this Agreement and that no third party is granted access to or use of the Maps in violation of these terms.

Payment Terms:
By purchasing a subscription to Scout-N-Hunt Mobile Maps, the Subscriber agrees to pay the subscription fee in full at the beginning of each subscription period. The subscription fee will be automatically charged to the payment method provided by the Subscriber at the time of purchase or as updated by the Subscriber in their account settings.

Automatic Renewal:
The subscription will automatically renew on the anniversary date of the initial purchase each year unless the Subscriber cancels the subscription before the renewal date. The renewal fee will be charged at the then-current rate, and the Subscriber will be notified of any changes in the subscription fee prior to renewal.

Payment Method:
It is the Subscriber’s responsibility to ensure that the payment method on file is current, valid, and has sufficient funds to cover the subscription fee. If a payment is declined or fails for any
reason, Northwind Enterprises, LLC reserves the right to suspend access to the Maps until the payment is successfully processed. The Subscriber may be required to update their payment information to restore access to the Maps.

Failed Payments:
If payment is not successfully received on the anniversary date, Northwind Enterprises, LLC will attempt to process the payment again. If payment continues to fail, the Subscriber’s access to
the Maps may be suspended or terminated at Northwind Enterprises, LLC’s discretion. The Subscriber is responsible for any fees or charges incurred due to failed payment attempts, including but not limited to bank fees or penalties.

Disputes:
Any disputes regarding charges must be raised with Northwind Enterprises, LLC within 10 days of the charge being posted to the Subscriber’s account. The Subscriber must contact Northwind Enterprises, LLC directly before initiating a dispute with their bank or credit card provider. Failure to do so may result in a delay or forfeiture of any potential resolution. Northwind Enterprises, LLC will review and respond to all payment disputes in accordance with its policies.

Refunds:
As outlined in the Refund section of this Agreement, no refunds will be provided on or before the anniversary date of the initial purchase or during the subscription period once the Maps have been downloaded and accessed.

Refund:
The mobile maps are digital and become accessible to you immediately upon purchase. Once purchased these maps are non-refundable and cannot be returned. Customers are entirely responsible for managing their subscription, including canceling before the anniversary date if they no longer wish to continue using the product. No refunds will be provided on or before the anniversary date or during the subscription period. If the subscription is not canceled before the anniversary date, the subscription fee for the following year will be charged. Access to the product will continue until the end of the paid period.

Subscription and Cancellation:
The term of this Agreement will begin on the purchase date of the mobile map and continue for 12 months. It is the customer’s sole responsibility to manage their subscription, including manually canceling or downgrading the subscription before the anniversary date if they wish to avoid renewal or switch to a Single-State plan.

If a subscriber does not want to renew the All-State package, they must downgrade to a Single-State subscription before the renewal date. Otherwise, the credit card on file will automatically be processed at the All-State package price on the anniversary date.

No refunds will be provided on or before the anniversary date or during the subscription period.

Since the product is accessible immediately upon purchase to download, no refunds will be issued after the anniversary date.

Continued use of the product without payment after the renewal will lead to the termination of access.

If a subscriber initially purchases the All-State product, which includes maps of every state we offer, and then downgrades to a Single-State subscription, no refunds or price adjustments will be provided. Access to the entire map collection, including the Single-State map, has already been granted.

Managing Your Subscription:
Customers are fully responsible for managing their subscriptions, including canceling before the anniversary date if they no longer wish to continue using the product. No refunds will be provided on or before the anniversary date or during the subscription period. Please note that we do not accept phone calls, emails, or texts for canceling subscriptions. We have made it easy to cancel your subscription by simply logging into your account, tapping on the “Cancel Subscription” button, and follow the steps.

Customer Responsibility for Account and Purchases:
Customers are fully responsible for the security and management of their account, including all purchases made with the credit card and address associated with the account. If a customer claims they never purchased the product, but their credit card and address were used, they are still responsible for the purchase. It is the customer’s responsibility to ensure their credit card information is accurate and up to date in their account. If a customer’s credit card is compromised, they are responsible for updating the credit card on file with us. The customer will be held responsible for all purchases made with the credit card associated with their account.

Steps to Cancel Your Subscription:
-Log into Your Account: Access your account by logging in with your credentials.
-Cancel Subscription: Navigate to the “Subscription” section of your account. Tap on the “Cancel Subscription” button.
-Confirm Cancellation: A pop-up will appear asking for confirmation. Tap “OK” to finalize the cancellation. Your subscription will be marked as canceled, and you will continue to have access to the maps until the expiration date of the current subscription period.
-Confirmation: After canceling, your account will display the options to “Reactivate Subscription” or “Delete Account,” confirming that the cancellation has been processed. The system will timestamp and log this cancellation in the gateway processing part of the system, ensuring that the subscription has been officially terminated.
-Important: It is crucial that customers remember they are responsible for canceling their subscription. Failure to do so before the renewal date will result in automatic renewal and the associated charges. No refunds will be provided on or before the anniversary date or during the subscription period.

Customer Support:
We make every effort to help you with your maps. Please contact us or utilize the video and tutorial areas of our website. We are one of the few companies that will return calls and also reach out to you to make sure you receive any assistance you need in utilizing our maps. Our commitment to customer support is unparalleled, and we are here to ensure you get the most out of our products.

Restrictions on Use:
Except as expressly permitted under this Agreement, you shall not allow any third party to: (a) copy the Data Files; (b) modify, translate, adapt, alter, or create derivative works from the Data Files; (c) merge the Data Files with any other software or documentation; (d) distribute, sub-license, rent, lease, or loan the Data Files to a third party; or (e) use the Data Files for the
business needs of another person or entity, including, without limitation, providing outsourcing, service bureau, application service provider, or online services to third parties. You may not
remove, alter, or obscure any proprietary notice that appears within the Data Files or on any copies made in accordance with this Agreement.

Subscribers are permitted to install and use the maps on up to three of their own devices, which may include a tablet, a phone, or a Windows PC. Any use beyond these three devices requires additional licensing or explicit permission from Northwind Enterprises, LLC.

Intellectual Property and Licensing:
The Data Files are licensed, not sold, to you solely for use under the terms and conditions of this Agreement. The Data Files, along with all worldwide intellectual property and proprietary rights therein, remain the exclusive property of Northwind Enterprises, LLC or its licensors, if any. You will have no right, title, or interest in or to the Data Files or any associated Intellectual Property Rights. Northwind Enterprises, LLC retains all rights, titles, and interests in its trademarks and logos displayed in or on the Data Files. You agree not to challenge or contest Northwind Enterprises, LLC’s rights to or ownership of the Data Files, or to assert any rights therein. “Intellectual Property Rights” means all worldwide patents, patent applications, copyrights, trade secrets, trademarks, service marks, trade names, and any other intellectual property, proprietary, and database protection rights.

Assignment and Transfer:
You may not assign, delegate, or otherwise transfer this Agreement or any of your rights or obligations under this Agreement without the prior written consent of Northwind Enterprises,
LLC. Any unauthorized assignment will not release you from any outstanding obligations under this Agreement, nor will it permit you or your assignee to expand the number of installations of the Data Files authorized under this Agreement.

Source of Data and Disclaimer:
The Data Files provided in this product are compiled from various national, state, and local government sources, among others. Northwind Enterprises, LLC endeavors to maintain the
most current maps available for the Scout-N-Hunt product. However, since these maps are entirely offline, updates can only be made available through a new download after the expiration of the current map. Upon the expiration date, the Subscriber may download the updated offline map to ensure access to the latest available data.

Northwind Enterprises is not held liable for any changes or inaccuracies in the maps caused by updates or modifications made by federal, state, or local organizations after the maps have
been downloaded. It is the Subscriber’s responsibility to download the latest version of the maps after the expiration date to ensure access to the most recent data.

Government Data Changes:
Government data can and does change without notice. Northwind Enterprises, LLC is not responsible for updating the Data Files to reflect such changes, nor for any consequences that may result from relying on outdated or incorrect information. It is the Subscriber’s responsibility to ensure that the information they are using is current and accurate by checking with the relevant federal, state, or local government agencies.

Warranty Disclaimer:
You acknowledge that the Data Files may contain known or unknown errors, inconsistencies, and inaccuracies. Any conclusions drawn from the Data Files are solely your responsibility. The accuracy of the data used to create these maps varies significantly, and you are responsible for confirming current information. The Data Files are provided for reference, recreational, and
entertainment purposes only. Northwind Enterprises, LLC makes no warranties, express or implied, including but not limited to warranties of accuracy, completeness, correctness, merchantability, or fitness for a particular purpose. Northwind Enterprises, LLC is not responsible for any inaccuracies or liabilities arising from the use or misuse of the data.

You are solely responsible for using the Data Files appropriately and within the limitations of geospatial data. You must visually verify boundaries, roads, and streets before use. This product
is for recreational and entertainment use only and may be used by private parties for general reference and planning. The product should not be used for any purpose requiring precise measurement of direction, distance, or location.

Limitation of Liability:
You acknowledge that any damages arising from the use of the product and Data Files (including but not limited to damages for loss of goodwill, trespass (civil or criminal), wrongful
death, personal injury, property damage, computer failure or malfunction, or any other damages or losses) are limited by this Agreement. In no event shall Northwind Enterprises, LLC or any data providing agency be liable for any incidental, indirect, special, consequential, or punitive damages, whether from the use or distribution of the Data Files or otherwise, even if advised of the possibility of such damages. Northwind Enterprises, LLC’s maximum aggregate liability for any damages arising from the use, operation, or reliance upon this product shall be strictly limited to the amount you paid for the mobile map.

Responsibility to Confirm Information:
Land ownership and boundaries may change at any time, and public lands may be bought or sold without notice. You are responsible for verifying current boundaries with federal, state, and county authorities, as well as private landowners. Northwind Enterprises, LLC makes no warranties regarding the accuracy, reliability, or completeness of the Data Files and advises that you confirm this information independently before relying on it. Always obey property line postings and use common sense to visually verify boundaries.

Indemnity Clause:
By using the Data Files, you agree to indemnify and hold Northwind Enterprises, LLC harmless from any claims, damages, or losses arising from your use of the data, including but not limited to disputes with government entities. This includes any legal fees and costs incurred by Northwind Enterprises, LLC in defending against such claims.

Exclusivity and Governing Law:
This Agreement constitutes the entire agreement between Northwind Enterprises, LLC and you regarding the use of Northwind Enterprises, LLC Scout-N-Hunt Mobile Maps. Any dispute arising from or related to this Agreement shall be governed by the laws of the State of Wisconsin, without regard to conflict of law principles. The exclusive venue for any such dispute shall be the state or federal courts located in Madison, WI, and you consent to the personal jurisdiction of those courts.

Support and Maintenance:

Map Updates:
Scout-N-Hunt Mobile Maps are updated regularly throughout the year in accordance with when pertinent data is made available by various national, state, and local agencies. Each map will be assigned an expiration date, after which the Subscriber will need to download the latest version to access the most up-to-date information. Once a map is downloaded, it operates entirely offline on the Subscriber’s device. To ensure accuracy, it is essential that the Subscriber downloads the updated map upon expiration of the current version.

Support Services:
Northwind Enterprises, LLC offers support services via email, text, and phone. We are committed to providing timely assistance and will do our best to address any issues or concerns as quickly as possible. While we strive to provide high-quality support, response times may vary based on the complexity of the issue and the volume of inquiries.

Maintenance:
Northwind Enterprises, LLC continually works to improve and maintain the Scout-N-Hunt Mobile Maps, ensuring they reflect the latest data and updates. However, because the maps are offline once downloaded, they will not automatically receive updates. Subscribers must download the updated map after the expiration date to maintain access to current data. We recommend that Subscribers regularly check for updates and download the latest version as soon as it becomes available.

Severability:
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed to be severed from the remainder of this Agreement, and the remaining provisions shall continue in full force and effect. The invalid,illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties. The failure of any party to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

Acknowledgment and Purchase Requirement:
You cannot complete the purchase of the Scout-N-Hunt Mobile Maps without first reading and scrolling through the entire text of this Agreement. By doing so, you acknowledge that you have fully reviewed and accepted the terms and conditions. This acknowledgment is a mandatory part of the purchase process, ensuring that you are fully informed before completing your transaction.

Force Majeure:
Northwind Enterprises, LLC shall not be liable for any failure to perform, or any delay in the performance of, any of its obligations under this Agreement if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, natural disasters, pandemics, governmental actions, or any other similar events or circumstances that could not have been anticipated or prevented by reasonable measures (“Force Majeure Events”).

In the event of a Force Majeure Event, Northwind Enterprises, LLC reserves the right to suspend or terminate access to the Maps without refund or compensation. The Subscriber acknowledges that such events may disrupt services, including the ability to download updated maps, and agrees that Northwind Enterprises, LLC shall not be held liable for any loss, damage, or inconvenience resulting from such disruptions.

Effective Date:
This Agreement is effective as of the year 2024. By accessing or using the Maps after this date, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth herein.

“This Agreement represents the complete and final understanding between Northwind Enterprises, LLC and the Subscriber concerning the matters addressed herein and replaces all prior discussions, agreements, or understandings, whether written or oral, related to the subject matter of this Agreement.”
